Terms of Service

By accessing or using Lucy AI, including our website, application, software, features, subscriptions, credits, add-on credit packs, beta features, early access features, or related services, you agree to be bound by these Terms of Service and all applicable laws and regulations.

If you do not agree to these Terms, you may not access or use Lucy AI.

These Terms apply to all users, including visitors, free users, beta users, trial users, paid subscribers, business users, invited users, and early access users.

Lucy AI is an AI software platform that provides an AI workspace with chat, governed memory, project continuity, writing assistance, research assistance, coding assistance, file analysis, creative tools, and related AI-powered workflows.

Lucy AI may use third-party AI models, cloud infrastructure providers, authentication providers, payment processors, analytics tools, email providers, support tools, file processing services, and other service providers to operate the Service.

Lucy AI may modify, suspend, limit, replace, remove, or discontinue any part of the Service at any time. Some features may be released in beta, early access, preview, waitlist, or experimental form and may change before general availability.

You must be at least 13 years old to use the Service. If you are under 18, you must have permission from a parent or legal guardian.

By using Lucy AI, you represent that you meet these requirements and that all information you provide is accurate, current, and complete.

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

You agree to notify Lucy AI promptly if you believe your account has been accessed without authorization.

Lucy AI is not responsible for losses caused by your failure to safeguard your account credentials, devices, email account, authentication provider, or payment method.

You may not share, sell, transfer, or sublicense your account without written permission from Lucy AI.

You agree not to use Lucy AI to:

(a) violate any law, regulation, court order, contract, or third-party right;

(b) submit harmful, abusive, defamatory, unlawful, deceptive, misleading, infringing, obscene, or otherwise objectionable content;

(c) attempt to reverse engineer, decompile, extract, scrape, copy, or derive source code, systems, prompts, models, architecture, workflows, memory logic, routing logic, security controls, or non-public functionality;

(d) use the Service to build, train, benchmark, evaluate, improve, or operate a competing AI product, AI assistant, AI memory system, AI workflow platform, model, agent framework, or similar service without written permission from Lucy AI;

(e) interfere with, overload, abuse, disrupt, attack, probe, scan, or test the vulnerability of the Service or related infrastructure;

(f) bypass usage limits, credits, billing systems, rate limits, access controls, security controls, authentication controls, or feature restrictions;

(g) impersonate any person or entity, misrepresent your identity, or misrepresent your affiliation with any person or entity;

(h) upload malware, malicious code, unauthorized scripts, harmful files, or content designed to damage, disrupt, or compromise systems;

(i) use the Service for unlawful surveillance, credential theft, phishing, spam, fraud, deception, harassment, or unauthorized data collection;

(j) use the Service for high-risk, safety-critical, medical, legal, financial, tax, investment, employment, housing, insurance, law enforcement, or other consequential decisions without appropriate human review and professional guidance;

(k) submit content you do not have the right to submit;

(l) abuse trials, promotions, referrals, credits, early access programs, or payment systems;

(m) resell, sublicense, lease, rent, or commercially exploit access to the Service unless expressly authorized in writing by Lucy AI.

Lucy AI may suspend, restrict, or terminate accounts that violate these rules or create legal, operational, security, payment, chargeback, or reputational risk.

You retain ownership of the content you submit to Lucy AI, including messages, files, prompts, project information, memories, preferences, instructions, and other materials you provide.

You grant Lucy AI a limited license to host, process, transmit, display, store, secure, analyze, and use your content solely as necessary to provide, maintain, secure, support, improve, and operate the Service, subject to our Privacy Policy and applicable settings.

Lucy AI does not sell your personal data or stored memories.

You are responsible for ensuring that you have all rights, permissions, and authority necessary to submit content to the Service.

You acknowledge that your content may be processed by third-party service providers used to operate the Service, including AI model providers, cloud infrastructure providers, authentication providers, payment processors, support providers, and file processing services, subject to applicable privacy and security terms.

Lucy AI, including its software, design, interface, branding, workflows, prompts, architecture, documentation, logos, trademarks, service marks, trade dress, systems, memory design, cognitive layer design, routing logic, security controls, and related technology, is owned by Lucy AI, Inc. or its licensors.

Subject to these Terms, Lucy AI grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal or internal business purposes.

You may not copy, reproduce, sell, resell, sublicense, modify, distribute, reverse engineer, create derivative works from, or commercially exploit Lucy AI except as expressly permitted in writing.

All rights not expressly granted are reserved by Lucy AI.

Lucy AI may store and use memory, preferences, project context, saved information, and related data to personalize your experience and provide continuity across sessions.

Depending on the feature, memory may be created from information you provide, approve, edit, save, reinforce, or otherwise authorize.

You may be able to review, edit, delete, approve, reject, or manage certain stored memories through the Service.

Deleting or disabling a memory may prevent it from being used in future responses. However, backup, audit, security, fraud prevention, legal, dispute, abuse prevention, and system integrity records may retain limited information as described in our Privacy Policy.

Lucy AI may distinguish between user-visible memory, operational logs, audit records, billing records, support records, and security records.

Lucy AI generates responses using artificial intelligence. AI-generated outputs may be inaccurate, incomplete, outdated, misleading, biased, inappropriate, or unsuitable for your specific situation.

You are responsible for reviewing, validating, and verifying outputs before relying on them.

Lucy AI does not provide legal, medical, financial, tax, investment, accounting, insurance, employment, housing, safety, or other professional advice.

You should consult a qualified professional before making important decisions based on AI-generated outputs.

You acknowledge that dissatisfaction with AI-generated output, output quality, response style, model behavior, response length, memory behavior, creative results, image/video generation results, or generated content does not entitle you to a refund unless required by applicable law.

Lucy AI may offer free plans, paid subscriptions, usage credits, rollover credits, add-on credit packs, trials, beta access, early access plans, promotions, referral credits, bonus credits, or other paid features.

Paid subscriptions are billed on a recurring monthly or annual basis, depending on the plan selected at checkout. Subscriptions automatically renew unless cancelled before the renewal date.

By purchasing a subscription, credit pack, or paid feature, you authorize Lucy AI and its payment processor to charge your selected payment method for recurring subscription fees, add-on purchases, applicable taxes, usage-based fees, and any other purchases you authorize.

Credits may be used for eligible AI features, including chat, writing, research, coding assistance, file analysis, image/video generation, memory-enabled workflows, and other usage-based features.

Credits are a limited, non-cash, non-transferable license to access usage-based features of the Service. Credits have no cash value, are not stored value, are not a bank account, are not a gift card, are not legal tender, and may not be exchanged, transferred, resold, redeemed for cash, withdrawn, or used outside the Service.

Monthly plan credits are included with eligible subscription plans. Monthly plan credits reset at the end of each billing period and generally do not roll over unless rollover is expressly included in your plan or stated at checkout.

If your plan includes rollover credits, those rollover credits expire 30 days after they roll over, unless a different period is expressly stated at checkout. Rollover credits are used only within the Service, have no cash value, and are non-refundable.

Add-on credit packs are separate one-time purchases. Add-on credit packs expire 90 days after purchase unless a different expiration period is expressly stated at checkout.

Expired credits are not refundable, redeemable, transferable, or exchangeable.

Promotional, trial, bonus, referral, complimentary, or manually granted credits may expire, be limited, be revoked, or be subject to additional rules.

Lucy AI may change pricing, plan features, credit amounts, credit expiration periods, usage rules, supported features, or available plans with notice where required by law. Changes will not affect charges already incurred.

You may cancel your subscription through your account settings or by contacting support. Cancellation prevents future renewal charges but does not refund prior charges, current billing period fees, add-on purchases, used credits, unused credits, rollover credits, partially used subscription periods, or promotional credits.

All purchases are final unless otherwise required by applicable law.

Lucy AI does not offer refunds for:

(a) monthly subscription fees;

(b) annual subscription fees;

(c) unused time in a billing period;

(d) monthly plan credits;

(e) rollover credits;

(f) expired rollover credits;

(g) add-on credit packs;

(h) unused add-on credits;

(i) expired add-on credits;

(j) partially used credits;

(k) used credits;

(l) promotional, trial, bonus, referral, or complimentary credits;

(m) dissatisfaction with AI-generated output;

(n) dissatisfaction with feature behavior, response style, model output, memory behavior, generation results, or creative results;

(o) failure to use the Service after purchase;

(p) mistaken purchases where the checkout page disclosed the plan, price, billing period, renewal terms, or credit purchase terms;

(q) account suspension, restriction, or termination caused by violation of these Terms;

(r) changes in personal preference, business need, or availability after purchase;

(s) cancellation after a renewal charge has already occurred.

Add-on credit purchases are final and non-refundable once purchased. Credit packs are usage-based digital access rights and may begin being consumed immediately after purchase.

If you believe you were charged in error, contact support@trylucy.ai within 7 days of the charge. Lucy AI may review alleged billing errors in its sole discretion, but submitting a request does not guarantee a refund, credit, reversal, account credit, or payment adjustment.

Nothing in this Section limits any rights you may have under applicable consumer protection laws that cannot be waived by contract.

If you initiate a chargeback, payment reversal, bank dispute, or payment processor dispute for a valid charge, Lucy AI may provide evidence to the payment processor, card network, bank, or dispute reviewer.

Evidence may include your acceptance of these Terms, our Refund Policy, checkout disclosures, subscription terms, credit purchase terms, invoices, receipts, usage records, account activity, login activity, IP/device metadata, support communications, cancellation records, credit consumption records, and related billing records.

You agree to contact support@trylucy.ai before initiating a payment dispute so we can review the issue.

Lucy AI may suspend or restrict your account while a chargeback, dispute, payment failure, fraud review, or billing investigation is pending.

If a chargeback or payment reversal is resolved against Lucy AI for a valid purchase, Lucy AI may terminate or restrict your access, revoke credits, disable paid features, recover amounts owed, or refuse future purchases to the extent permitted by law.

Prices may not include applicable taxes unless stated otherwise. You are responsible for any taxes, duties, levies, or governmental charges associated with your purchase, except taxes based on Lucy AI’s income.

Lucy AI or its payment processor may collect applicable taxes where required.

Lucy AI may offer free trials, promotional plans, early access, beta access, referral rewards, or complimentary credits.

Lucy AI may modify, limit, revoke, or terminate trials, promotions, early access, or bonus credits at any time, especially in cases of abuse, fraud, duplicate accounts, misuse, payment risk, or violation of these Terms.

Unless expressly stated otherwise, promotional, trial, referral, bonus, or complimentary credits have no cash value and are non-refundable.

Lucy AI may integrate with or rely on third-party services, including AI model providers, cloud infrastructure providers, authentication providers, payment processors, analytics tools, email providers, support tools, storage providers, file processing services, and communication services.

Your use of third-party services may be subject to their own terms and policies.

Lucy AI is not responsible for third-party services outside our control, including outages, pricing changes, policy changes, output behavior, model behavior, data processing, or service limitations caused by third-party providers.

Your use of Lucy AI is also governed by our Privacy Policy.

Lucy AI uses reasonable technical and organizational safeguards designed to protect user data. However, no system is completely secure, and Lucy AI cannot guarantee absolute security.

You are responsible for using the Service safely and appropriately and for not submitting information you are not authorized to share.

You acknowledge that using any online software, AI system, or cloud service involves inherent security and privacy risks.

Some Lucy AI features may be made available in beta, preview, early access, waitlist, experimental, or limited-release form.

These features may be incomplete, unstable, unavailable at times, inaccurate, changed without notice, or removed before general availability.

Beta and early access features are provided for testing, feedback, and development purposes and may not be suitable for production, commercial, high-risk, or mission-critical use.

Lucy AI is not obligated to continue offering beta or early access features.

Lucy AI may provide support through email, in-app tools, help center content, community channels, or other methods.

Support availability, response times, and support channels may vary by plan, account status, feature, or issue type.

Lucy AI does not guarantee any particular support response time unless expressly stated in a separate written agreement.

Lucy AI may suspend, restrict, or terminate your access to the Service if you violate these Terms, misuse the Service, fail to pay required fees, create legal, operational, security, billing, chargeback, fraud, abuse, or reputational risk, or otherwise use the Service in a way that may harm Lucy AI, users, third parties, or the Service.

You may stop using the Service at any time.

Termination does not entitle you to a refund unless required by applicable law.

Upon termination, Lucy AI may disable your account, revoke access, delete or restrict access to certain data, revoke credits, cancel future renewals, and retain records as needed for legal, billing, security, audit, fraud prevention, dispute, or compliance purposes.

Sections that by their nature should survive termination will survive, including intellectual property, payment obligations, no-refund terms, chargeback/dispute terms, disclaimers, limitations of liability, indemnification, governing law, and dispute provisions.

The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, statutory, or otherwise.

Lucy AI does not warrant that the Service will be uninterrupted, error-free, secure, accurate, reliable, available, compatible, complete, or free of harmful components.

Lucy AI does not warrant that AI-generated outputs will be accurate, complete, safe, lawful, useful, suitable, or appropriate for your needs.

To the fullest extent permitted by law, Lucy AI disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade.

To the maximum extent permitted by law, Lucy AI, Inc. and its officers, directors, employees, contractors, agents, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, including lost profits, lost revenue, lost data, loss of goodwill, business interruption, security incidents, AI output errors, failed generations, lost credits, lost files, or loss of use.

To the maximum extent permitted by law, Lucy AI’s total liability for any claim relating to the Service will not exceed the greater of:

(a) the amount you paid to Lucy AI in the 12 months before the claim arose; or

(b) $100.

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

You agree to indemnify, defend, and hold harmless Lucy AI, Inc. and its officers, directors, employees, contractors, agents, affiliates, licensors, and service providers from any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising from or related to:

(a) your use of the Service;

(b) your content;

(c) your violation of these Terms;

(d) your violation of any law or third-party right;

(e) your misuse of AI outputs;

(f) your billing disputes, chargebacks, fraud, or unauthorized payment activity caused by your conduct;

(g) your use of the Service to create, process, store, or distribute unlawful, infringing, harmful, or unauthorized content.

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles.

Any disputes arising from or relating to these Terms or the Service will be handled in the state or federal courts located in Wyoming, unless applicable law requires otherwise.

You consent to the personal jurisdiction and venue of those courts.

Lucy AI may update these Terms from time to time.

If we make material changes, we will provide notice by email, in-app notice, website notice, updated effective date, or another reasonable method.

Your continued use of the Service after updated Terms become effective means you accept the updated Terms.

If you do not agree to the updated Terms, you must stop using the Service.

These Terms, together with any policies referenced in them, constitute the entire agreement between you and Lucy AI regarding the Service.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.

Lucy AI’s failure to enforce any provision is not a waiver of its rights.

You may not assign these Terms without Lucy AI’s prior written consent. Lucy AI may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, financing, or operation of law.
